1. About Countee

Countee Ltd ("we", "us", "the Service") is an online accounting and tax software platform for UK businesses, registered in England and Wales. Countee Ltd is registered with the Information Commissioner's Office (ICO) under registration reference ZC101201. By creating an account and using Countee, you agree to these Terms and Conditions. If you do not agree, please do not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal authority to act on behalf of the business you register on the platform. By registering, you confirm that all information you provide is accurate and up to date.

3. The Service

Countee provides the following features:

  • Double-entry bookkeeping and chart of accounts
  • Invoicing, billing, and expense tracking
  • Bank transaction management
  • VAT return preparation and submission to HMRC via Making Tax Digital (MTD)
  • Financial reporting (Profit & Loss, Balance Sheet, Trial Balance)

4. HMRC Making Tax Digital (MTD) Submissions

  • When you connect your organisation to HMRC MTD and submit a VAT return, you authorise Countee to transmit the return data to HMRC on your behalf.
  • You are solely responsible for the accuracy and completeness of the figures entered. Countee transmits the data you provide; we are not a tax adviser and do not verify the correctness of your VAT calculations.
  • Once a return is submitted and accepted by HMRC, it cannot be amended through the platform. Any amendments must be made directly with HMRC.
  • You must ensure your VAT Registration Number (VRN) and business details are correct before submitting.

5. Your Account

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must notify us immediately of any unauthorised use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

6. Acceptable Use

You must not use Countee to:

  • Submit false or fraudulent information to HMRC or any other authority.
  • Violate any applicable UK law or regulation.
  • Attempt to gain unauthorised access to other users' data or our systems.
  • Reverse-engineer, copy, or resell any part of the Service without our written permission.

7. Availability

We aim to provide a reliable service but cannot guarantee 100% uptime. We are not responsible for any HMRC-side outages or delays in processing submissions. We will endeavour to communicate planned maintenance in advance.

8. Limitation of Liability

To the fullest extent permitted by law, Countee shall not be liable for any indirect, incidental, or consequential loss arising from your use of the Service, including but not limited to penalties or interest charged by HMRC as a result of late or incorrect submissions. Our total liability to you shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

9. Changes to the Service and Terms

We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
